PBL Legal advises entrepreneurs and investors on acquisitions, investments and disputes under corporate law.
We structure the transaction and the rules on how the shareholders work together afterwards.
Services
We advise on the formation and structuring of companies, capital measures, restructurings and business succession. We also cover shareholders' agreements, preparing meetings and assisting with shareholder conflicts.
We assist with company acquisitions and disposals, investments and joint ventures. The work covers legal review, contract drafting and negotiations. Where sellers remain shareholders, we also set out their future cooperation with the acquirer.
We structure the cooperation of management, shareholders and supervisory bodies: responsibilities, reporting duties and approval requirements. We also advise on duties of directors and officers and on reviewing and pursuing D&O liability claims.
We develop compliance management systems and support companies in internal investigations. Other areas of focus are anti-corruption programs, business partner due diligence and handling reports of possible misconduct.
The firm
Picherer Bohnet Lohner was founded in Munich in 2024 as a partnership. Our three partners previously worked in international business law firms. They advise companies and their owners on ongoing legal matters, transactions and shareholder disputes.
For cross-border matters, we work with law firms and lawyers in the relevant jurisdiction.

Majority sale of EITCO GmbH to Adelis Equity Partners
June 2025 · Berlin and Stockholm
PBL advised a Munich single family office and the management participation vehicle on the sale of a majority stake in EITCO GmbH, an IT services provider based in Berlin. The buyer is the Swedish private equity firm Adelis Equity Partners, which prevailed in a bidder process advised by PBL. Management remains invested and continues to run the company.

Uwe Bohnet advises on corporate law, M&A and capital markets transactions, as well as restructurings and shareholder disputes. He has worked in Germany, China and Russia and is a co-author of the Münchener Anwaltshandbuch Aktienrecht (Munich lawyers' handbook on German stock corporation law).
